A mix of Fraser Stryker attorneys across multiple practice groups assisted Standard Nutrition Company in the acquisition and reorganization of their pork production operations.

 
 

Fraser Stryker served as legal counsel for Standard Nutrition Company (“SNC”), an Omaha, Nebraska-based livestock nutrition and management consulting company, and Passel Farms, LLC (“Passel Farms”), an Iowa-based swine production business, as they finalized the acquisition of Cactus Pork Group, LLC, and the reorganization of some of SNC’s pork production investments and resources in the formation of Passel Farms. SNC collaborated with new investment partners in the acquisition, including an investment vehicle affiliated with Ospraie Management, LLC.

Passel Farms will bring a new era of efficiency and innovation to SNC. With a full farrow-to-finish swine production system, Passel Farms will utilize its team’s multidisciplinary industry experience and an expanded footprint across the Midwest and South to position itself for future growth.

Fraser Stryker attorneys Paul Halbur, Emily Blomstedt, and Mary Carnazzo led the transaction team with Tyler Johnson leading on real estate matters, Emily Langdon advising on ERISA matters, Rhianna Kittrell advising on labor and employment matters, Ben Novotny assisting with real estate and contract diligence, and Karsen Sims assisting with due diligence matters were all part of the Fraser Stryker team that advised SNC and Passel Farms in the acquisition, equity and debt financing.
